ROLE PROFILE: Role description, team description and department description: LCH SA is an international clearing house within the Post Trade Division of LSEG, with international client outreach and fast developing complex set of businesses of critical importance. As such, LCH SA is subject to the direct supervision of AMF, ACPR and Banque de France as well as the SEC, the CFTC for certain services, with cooperation and information duty to Japanese, Canadian, Swiss etc Authorities.

The role of Legal Counsel will be hosted in LCH SA Legal Department and report to LCH SA Head of Legal.

Key responsibilities of the role:

Clearing rules Amendments

* Gap analysis of the enforced Rulebook, instructions and notices in the light of new products, new projects, national and European legislative and regulatory changes....
* Drafting of Clearing rules amendments.
* Preparing and following Regulatory approval process until final approval by the competent authorities (AMF, ACPR, BdF, SEC CFTC).
* Translation into French/English language

Contractual

* negotiation, drafting/amending agreements with third parties (including trading venues, CSDs, third party providers, intra-group, financial counterparties, service providers ….)
* Management of maser agreement with financial counterparties (GMRA, FBF)

Specific events / Potential claims management
* provide answers to members/clients questions.
* Regulators' inquiry or request for information.
* Clearing Members request for information and claims.
* Drafting and/or review of internal legal documentation such as committees' terms of reference.
* Legal research on specific corporate law issues.

Follow-up of projects with internal stake holders:

* Contribute to the implementation of new products, new membership, and any enhancement of clearing services.
* Challenge stakeholders on legal grounds
* Advise stakeholders in order to allow development of the business in compliance with applicable regulations and law.

Other

* Legal research on specific law issues.
* Contribute to regulatory market consultation.
* Actively contribute to other tasks inherent to the legal department and company functioning.

Essential experience and skills required: * 6/8+ years PQE in the Financial Services industry as internal legal counsel or within an international top law firm with proven track record and excellent references. * French master's degree in French financial, banking Law (good knowledge in corporate law in a plus). * A good general knowledge of DORA, EMIR, Arrêté 4 Novembre 2014 …and banking regulations * French or dual UK qualification would be preferred. * Integrity, autonomy, liability * Strong analytical and problem-solving skills, detailed oriented individual. * Business and solution oriented * Flexible, assertive with collaborative skills * Excellent legal and commercial, verbal and written communication skills is mandatory in both French and English * Ability to drive and manage multiple projects simultaneously. Strong ability to multitask. * The applicant must be fluent in French and in English * Strong team player
